Software License Agreement (EULA)
This End User License Agreement (“Agreement”) governs the use of Solaris software applications (“Software”). By installing or using the Software, you agree to be bound by this Agreement.
1. Scope and Acceptance
This Agreement applies to Licensor desktop software products and related license activation, validation, and technical protection mechanisms.
By downloading, installing, activating, accessing, or using the software, the user confirms acceptance of this Agreement.
This Agreement applies in addition to the applicable Terms and Conditions and Privacy Policy. The Terms and Conditions govern the purchase of digital products and website use, while the Privacy Policy explains how personal data and technical data are processed.
2. Definitions
For the purposes of this Agreement:
“Licensor” means České stavebniny, s.r.o., the provider and licensor of the software.
“Software” means any Licensor desktop application, utility, tool, update, related component, or accompanying documentation made available by the Licensor.
“User” means any individual or legal entity that downloads, installs, activates, or uses the Software.
“License” means the limited right to use the Software under the terms of this Agreement.
“Device” means a hardware environment identified through a hardware-based identifier or comparable technical binding method used for licensing purposes.
“Enterprise Customer” means a business, institution, or other organization using the Software under an enterprise licensing model.
3. License Grant
Subject to this Agreement and to successful activation where applicable, the Licensor grants the User a limited, non-exclusive, non-transferable, revocable license to install and use the Software.
The Software is licensed, not sold.
The User receives only the right to use the Software in accordance with this Agreement and does not receive any ownership rights in the Software or its underlying intellectual property.
4. License Types
The Software is bound to a single device (hardware identifier).
The Software may be offered under one or more of the following license models, depending on the product:
Trial
A limited evaluation license intended for first-time testing or product evaluation. Trial use may be restricted by time, number of uses, available formats, export options, connectivity requirements, or other technical limits depending on the product. Product-specific trial limits may be shown on the product page, inside the application, or in the product documentation.
Pro 1 Month
A term-based license intended for short-term use. This license is typically valid for one month from activation and may require periodic validation.
Pro 3 Years
A longer-term license intended for regular use. This license is typically valid for three years from activation and may require periodic validation. Where offered, a reset policy may apply according to the product and license rules.
Enterprise
A business-oriented license model intended for organizations, institutions, or dedicated professional deployment environments. Enterprise licensing may use online activation, offline token workflows, or separate enterprise arrangements.
Enterprise Multilicense
Where offered, enterprise multilicense arrangements may allow licensed deployment across multiple authorized devices under separate commercial terms.
5. Activation, Validation, and Device Binding
Unless expressly stated otherwise, a license is bound to one designated device or hardware environment.
The Licensor may use a hardware-based identifier, device fingerprint, activation token, or similar technical method to bind a license to a device.
Certain licenses may require successful online activation, periodic license validation, or other technical verification steps before or during use.
If the Software cannot complete required validation for an extended period, it may enter a restricted mode until validation succeeds again.
Where applicable, a limited grace period may be allowed after a missed validation event. Validation intervals and grace periods may be adjusted by the Licensor where reasonably necessary for operational, fraud-prevention, or security reasons.
Significant hardware changes, system reconfiguration, virtualization changes, device replacement, or other technical modifications may require reactivation or may invalidate a previous device binding.
Where a reset option is offered for a specific license type, such reset remains subject to the technical and policy limits associated with that license.
6. Technical Protection and Anti-Circumvention
The Software contains technical protection mechanisms designed to enforce licensing terms, activation rules, device binding, integrity checks, and fraud prevention measures.
The User must not bypass, disable, manipulate, interfere with, or attempt to undermine any licensing, validation, activation, device-binding, or integrity-protection mechanism.
Prohibited conduct includes, without limitation:
- modifying configuration files or stored values in order to reset trial limits or license state,
- intercepting, spoofing, replaying, or altering technical communication related to activation or validation,
- reverse engineering or tampering with license verification routines,
- using virtualization, system spoofing, or hardware/environment manipulation to evade device binding,
- generating false activation, validation, or entitlement conditions.
Violation of this section may result in immediate suspension or termination of the license without refund, without prejudice to any other rights or remedies available under applicable law.
7. Permitted Use and User Responsibility
The Software is intended for lawful general-purpose use according to its product-specific functions, including processing, transformation, recording, analysis, workflow management, or other legitimate product uses described by Solarisx.
The User is solely responsible for:
- the content processed, recorded, transformed, or managed using the Software,
- ensuring that such use is lawful,
- ensuring that all required permissions, rights, licenses, consents, or authorizations have been obtained,
- complying with applicable laws, regulations, contractual obligations, workplace rules, and third-party terms.
The Licensor does not supply or authorize third-party content and is not responsible for how the User chooses to use the Software with respect to third-party material.
8. External Tools and Third-Party Components
Some Software products may support optional integration with user-provided third-party tools or services.
Unless expressly stated otherwise, the Licensor does not bundle, distribute, control, endorse, maintain, or guarantee such third-party tools or services.
Any use of external tools or third-party services is at the User’s own responsibility and risk.
Some Software products may also include or rely on open-source components, including components from the FFmpeg project where applicable, under their respective license terms.
9. Restrictions
Except to the extent expressly permitted by mandatory law, the User must not:
- copy, redistribute, sublicense, resell, rent, lease, or make the Software available to third parties,
- modify, translate, adapt, reverse engineer, decompile, disassemble, or derive source code from the Software,
- remove, alter, or obscure copyright, trademark, license, or attribution notices,
- share, transfer, publish, or misuse license keys, tokens, activation data, or enterprise credentials,
- use the Software in a way that circumvents license limits, device-binding rules, or technical protection measures.
10. Ownership, Updates, and Availability
All rights, title, and interest in and to the Software, including all intellectual property rights, remain the exclusive property of the Licensor or its licensors.
This Agreement does not grant the User any ownership rights in the Software.
The Licensor may provide updates, patches, improvements, fixes, new versions, or feature changes at its discretion.
The Licensor may also modify, discontinue, replace, or withdraw features, products, validation infrastructure, or support channels where reasonably necessary and subject to applicable law.
11. Suspension and Termination
The license may be suspended or terminated immediately if:
- the User breaches this Agreement,
- payment is reversed, charged back, cancelled, or otherwise invalidated,
- the Software is misused, tampered with, fraudulently activated, or used in a way that violates technical protection rules,
- the User uses the Software in a materially unlawful or abusive manner.
Upon suspension or termination, the User must stop using the Software and, where applicable, uninstall or deactivate it.
Suspension or termination under this Agreement does not limit any other rights or remedies available to the Licensor.
12. Disclaimer of Warranty
To the maximum extent permitted by applicable law, the Software is provided “as is” and “as available”, without warranties of any kind.
The Licensor disclaims all express, implied, and statutory warranties, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, or error-free operation.
The Licensor does not warrant that the Software will meet every requirement of the User or that all functions will remain continuously available.
13. Limitation of Liability
To the maximum extent permitted by applicable law, the Licensor shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages arising out of or related to the use of, inability to use, activation of, validation of, or performance of the Software.
This includes, without limitation, loss of data, loss of business, loss of profits, downtime, corruption of files, interruption of operations, or other economic loss.
Nothing in this Agreement excludes or limits liability where such exclusion or limitation is prohibited by mandatory law.
14. Governing Law and Contact
This Agreement is governed by the laws of the Czech Republic, without prejudice to mandatory consumer protection rules that may apply under the law of the User’s country of residence where such rules cannot be excluded.
