This End User License Agreement (“Agreement”) governs the use of Solaris software applications (“Software”). By installing or using the Software, you agree to be bound by this Agreement.
1. Definitions
“Company” means the developer and distributor of the Software Products.
“Software” means any desktop or server application, utility, or tool provided by the Company, including all updates and related components.
“User” means any individual or legal entity that installs or uses the Software.
2. License Grant
The Company grants the User a non-exclusive, non-transferable, revocable license to install and use the Software in accordance with this Agreement.
The Software is licensed, not sold.
3. License Types
The Software may be provided under one or more of the following license types:
3.1. Trial
- Free version for evaluation purposes
- Limited to a maximum of 5 tasks OR 7 days from first activation, whichever occurs first
- Trial requires server-side validation and may require an active internet connection
- Trial automatically expires once limits are reached
3.2. PRO_1M (1 Monthly License)
- Valid for one (1) month from activation
- Automatically expires unless renewed
- Bound to a single device (hardware identifier)
3.3. PRO_3Y (3 Year License)
- Valid for three (3) years from activation
- Bound to a single device (hardware identifier)
- Requires periodic online validation (typically once every 30 days)
- Device change (license reset) permitted once every 365 days
- Significant hardware modifications may require reactivation
- Does not guarantee perpetual availability of updates, services, or support
3.4. Enterprise License (Offline License)
- Intended for enterprise customers, corporate or institutional use
- Activated via offline or online mechanisms
- Bound to a single designated device or system
- Operates using an offline enterprise token
- May optionally perform online audit pings if configured
4. License Scope and Device Binding
Unless explicitly stated otherwise:
- Each license is bound to one device (hardware identifier)
- Licenses are non-transferable
- Changing core hardware
- Components may require reactivation or reset in accordance with the license type
Volume licensing options may be available upon request.
5. Online Validation (Periodic Check)
- Term-based licenses (PRO_1M and PRO_3Y) require periodic server validation
- If the Software cannot contact the validation server for an extended period, it may enter a restricted mode until validation succeeds
- Enterprise offline token works without regular internet (if you have it)
6. Grace Period
For term-based licenses (PRO_1M and PRO_3Y), the Software may allow a limited grace period if periodic online validation cannot be completed.
If the Software is unable to contact the validation server within the required validation interval (typically 30 days), it may continue operating for a limited grace period (e.g., up to 40 days from the last successful validation).
After expiration of the grace period, the Software may enter a restricted mode and require successful online validation before full functionality is restored.
The Licensor reserves the right to adjust validation intervals and grace period duration for security or operational reasons.
7. Hardware Identifier and Device Definition
For licensing purposes, a “device” is identified by a hardware-based identifier (HWID) generated from selected system parameters.
The HWID may change as a result of significant hardware modifications, including but not limited to motherboard replacement, CPU replacement, virtualization changes, or substantial system reconfiguration.
Minor hardware changes (such as RAM or storage upgrades) may not affect the HWID, but this is not guaranteed.
If the HWID changes, the Software may require reactivation or a license reset in accordance with the applicable license type.
The exact technical method used to generate the HWID is proprietary and may be modified without prior notice.
8. Technical Protection and Anti-Circumvention
The Software contains technical protection mechanisms designed to enforce licensing terms, including but not limited to server-side validation, device binding, usage limits, and integrity checks.
Any attempt to bypass, disable, manipulate, or interfere with these mechanisms is strictly prohibited.
This includes, without limitation:
- Modifying configuration files to reset trial limits,
- Intercepting or altering network communication related to license validation,
- Reverse engineering license verification routines,
- Using virtualization or system manipulation to evade hardware binding.
Violation of these provisions may result in immediate termination of the license without refund and may lead to legal action where applicable.
9. Server Communication and Technical Data Processing
For the purpose of license validation, fraud prevention, and security monitoring, the Software may transmit limited technical information to the Licensor’s servers.
Such information may include, but is not limited to:
- Hardware identifier (HWID),
- License key or token identifier,
- Application version,
- Validation timestamps,
- IP address,
- Basic system metadata necessary for license enforcement.
No personal files, user-generated content, or unrelated personal data are collected by the Software for licensing purposes.
All transmitted data is used solely for license management, security, and operational integrity of the Software.
10. Enterprise License and Audit Provisions
Enterprise_Lifetime licenses are intended for business or organizational use and may be subject to separate contractual terms.
The Licensor reserves the right to:
- Require confirmation of authorized device usage,
- Audit enterprise license compliance upon reasonable notice,
- Revoke or suspend enterprise tokens in cases of misuse, breach, or unauthorized duplication.
Offline enterprise licenses may include optional audit pings or manual compliance verification processes, depending on the agreement between the Licensor and the Enterprise customer.
11. Digital License Activation and Refund Policy
The Software is a digital product delivered electronically.
Upon successful activation of a license key or token, the license is considered used.
Due to the nature of digital products and immediate access to licensed functionality, activated licenses may be non-refundable except where required by applicable consumer protection laws.
The Licensor reserves the right to refuse refunds in cases of:
- License key disclosure or misuse,
- Attempted circumvention of licensing mechanisms,
- Violation of this Agreement.
Nothing in this section limits mandatory consumer rights under applicable law.
12. Permitted Use
The Software is intended for general-purpose processing, transformation, analysis, or management of data, including but not limited to:
- Audio or video processing
- Transcription or translation
- Format conversion
- Workflow automation
- Archival or metadata management
13. User Content and Responsibility
The User is solely responsible for:
- The content processed using the Software
- Ensuring that they have legal rights to use such content
- Compliance with applicable laws, licenses, and third-party terms
User is solely responsible for ensuring that recorded content does not violate copyright or third-party rights.
The Company does not provide, distribute, or authorize content sources.
14. External Tools and Integrations
The Software may support integration with user-provided external tools or services.
The Company:
- Does not bundle or distribute such tools
- Does not endorse or control them
- Bears no responsibility for their functionality or legality
Use of external tools is entirely at the User’s own risk.
15. Restrictions
The User shall not:
- Copy or distribute the Software
- Modify, reverse engineer, or decompile the Software
- Circumvent or attempt to bypass license enforcement mechanisms
- Remove copyright or license notices
- Share or transfer license keys to third parties
16. Ownership
All intellectual property rights in the Software remain the exclusive property of the Company.
This Agreement does not grant ownership rights to the User.
17. Updates and Availability
The Company may:
- Provide updates or improvements at its discretion
- Modify or discontinue features or products without liability
18. Termination
This license terminates immediately if:
- The User violates this Agreement
- Payment is reversed or refunded
- The Software is misused or tampered with
Upon termination, the User must stop using the Software. Termination Violation of this Agreement may result in license termination without refund.
19. Disclaimer of Warranty
The Software is provided “as is”, without warranties of any kind.
To the maximum extent permitted by law, the Company disclaims all implied warranties.
20. Limitation of Liability
The Company shall not be liable for:
- Loss of data
- Loss of profits
- Indirect or consequential damages arising from the use or inability to use the Software.
21. Governing Law
This Agreement is governed by the laws of the Czech Republic and applicable European Union regulations.
22. Acceptance
By installing, downloading, or using the Software, the User confirms acceptance of this Agreement.
23. External Media Tool (optional)
The software does not provide or distribute any media downloading tools.
Any third-party tools used with our application are installed and used at the user’s own responsibility.
24. Open Source Software
Some applications use code from the FFmpeg project licensed under the LGPLv2.1. FFmpeg is the property of its authors (ffmpeg.org).
